PT Jasamarga Transjawa Toll Road Announces New Shareholder Composition
Bekasi (September 28), PT Jasamarga Transjawa Toll (JTT), a Toll Road Business Entity (BUJT) that manages four operational segments and holds shares in nine Toll Road Subsidiaries in the Trans Java Region, announced a new shareholder composition based on an Equity Financing corporate action carried out by the parent company of PT JTT, namely PT Jasa Marga (Persero) Tbk (Jasa Marga), which signed a Sales Purchase Agreement (SPA) with PT Metro Pacific Tollways Indonesia Services (MPTIS), Warrington Investment Pte Ltd (Warrington), and PT Margautama Nusantara (MUN) on Friday, September 27, 2024.
In addition to the signing of the SPA by Jasa Marga, PT JTT has also completed a Rights Issue transaction with the signing of a Notarial Deed of Meeting Resolution (PKR) by the President Director of PT JTT, Rudi Kurniadi, regarding the Company's capital increase.
As a result of this Equity Financing corporate action, there are new shareholders in PT JTT with the following share ownership composition: MPTIS with 20.3%, Warrington with 10.5%, and MUN with 4.2%. while Jasa Marga still maintains a majority shareholding composition of 65% as well as full control over the management and operation of the Trans Java toll road.
PT JTT President Director Rudi Kurniadi expressed his hopes for PT JTT in the future following the change in shareholder composition. “With the addition of strategic partners to the Company, we hope to increase the Company's value, realize sustainable toll road business growth and innovation, and strengthen investor confidence in the Company's future prospects,” said Rudi.
Rudi added, “The funding strategy through the Right Issue conducted by PT JTT is also expected to strengthen the capital structure so that optimization of capacity and financial conditions can be achieved,” concluded Rudi.
PT JTT manages the 676-km Trans Java Toll Road connecting the provinces of West Java, Central Java, and East Java, facilitating interaction between regions. This toll road opens up opportunities for the development of areas surrounding the toll road and facilitates access to tourist areas, industries, housing, and shopping centers. The Trans Java Toll Road not only functions as a transportation route, but also as a driver of economic growth and infrastructure development in Indonesia.
PT JTT manages 4 operational segments and has shareholdings in 9 Toll Road Subsidiaries in the Trans Java Region, namely the Jakarta-Cikampek Toll Road, Mohamed Bin Zayed Flyover, Palimanan-Kanci Toll Road, Batang -Semarang Toll Road, Semarang Toll Road Sections A, B, C, Semarang-Solo Toll Road, Solo-Ngawi Toll Road, Ngawi-Kertosono Toll Road, Surabaya-Mojokerto Toll Road, Surabaya-Gempol Toll Road, Gempol-Pandaan Road, Pandaan-Malang Toll Road, and Gempol-Pasuruan Toll Road.
